Terms of Service

Applicable to any subscription to the Heurix Search API — automatically accepted at signup, available here at any time.

Transparency note. This document was drafted to cover the essential points of a standard B2B SaaS subscription, following the structural pattern of what providers like Algolia or Brevo offer. It does not constitute definitive legal advice and has not yet been reviewed by a legal professional — a review is recommended before any large-scale commercial launch.

Article 1 — Purpose

These Terms of Service (the "Terms") govern the subscription to and use of the Heurix Search API (the "Service"), provided by Alexis Flahaut, sole trader (French "micro-entreprise"), operating under the trade name Heurix, registered under SIRET 107 681 900 00018, whose address is 22 rue Mélingue, 75019 Paris, France ("Heurix", "we").

Subscribing to any paid or free plan of the Service constitutes full and unreserved acceptance of these Terms by the subscribing individual or entity (the "Customer", "you").

Article 2 — Definitions

Article 3 — Acceptance

These Terms are accepted electronically at the time of subscribing to a Plan, through explicit confirmation (checkbox or equivalent action) prior to any provisioning of the Service. This acceptance constitutes an electronic signature under applicable French law (Article 1367 of the French Civil Code).

The Customer represents having the legal capacity to enter into this agreement, acting in a professional capacity, and holding the authority to bind the entity it represents, where applicable.

Article 4 — Service description

The Service allows the Customer to index one or more Catalogs and search them via a documented REST API, including: annotation cascade, typo tolerance, business synonyms, facets and filters, and federated search across catalogs. The current functional detail is available on the Features Integrations and Documentation pages, which form an integral part of this offering by reference.

Heurix reserves the right to evolve the Service's features, in particular to improve it or adapt it to technical developments, without this constituting a material change to these Terms as long as the essential capabilities of the subscribed Plan are maintained.

Article 5 — Plans and pricing

Available Plans, their prices, and included volumes are detailed on the pricing page, which forms an integral part of these Terms. Prices are shown exclusive of tax; applicable VAT, if any, is added in accordance with regulations in effect at the time of billing.

Heurix reserves the right to change its prices. Any price change is communicated to the Customer at least thirty (30) days before it takes effect and only applies to billing cycles after that date — amounts already billed are not retroactively affected.

Article 6 — The free trial

A fourteen (14) calendar-day free trial, no credit card required, is offered to any new key, within the volumes shown on the pricing page. It is intended for technical evaluation of the Service under real conditions on a representative catalog, prior to subscribing to a paid Plan.

At the end of the 14 days, if no paid Plan has been subscribed to, access to the Service reverts to trial limits until subscription — the Customer's data (catalogs, configuration) is retained and becomes fully accessible again upon subscribing to a Plan.

Heurix reserves the right to suspend or limit any use of the free trial that clearly diverts from this evaluation purpose, following prior notice to the Customer where reasonably possible.

Article 7 — Billing and payment

Paid Plans are billed monthly, by automatic charge to the payment method provided by the Customer at subscription, through our payment provider. Any month once started is due in full, unless otherwise expressly provided by the subscribed Plan.

Usage beyond the volumes included in the Plan is billed according to the public counting rules detailed in the documentation, without service interruption at the moment of overage.

In the event of payment failure, Heurix reserves the right, after a reminder, to suspend access to paid features of the Service and revert the affected API key to free trial limits (see Article 6) until the situation is resolved.

Article 8 — Term and termination

The subscription is for an indefinite term, with no minimum commitment, and may be terminated by the Customer at any time, effective at the end of the current monthly billing period, from their subscription management area.

Heurix may terminate or suspend access to the Service in the event of a serious breach of these Terms by the Customer (fraudulent use, harm to the Service's security, persistent non-payment after a reminder), following prior notice except in cases of demonstrated urgency.

Upon termination, the Customer's data may be retained for a reasonable period allowing possible reactivation, then deleted. The Customer may request export or immediate deletion of their data at any time by writing to contact@heurix.fr.

Article 9 — Service availability

Heurix uses reasonable means to ensure continuous availability of the Service, hosted in France. At this stage of the offering's development, no contractual uptime commitment (numeric SLA) is guaranteed beyond a best-efforts obligation; a formal SLA with numeric commitments may be offered on higher plans in the future.

Occasional interruptions for maintenance are possible; Heurix strives, where possible, to announce them in advance and schedule them outside business hours.

Article 10 — Customer data

The Customer remains the sole owner of the data in their Catalog(s) (product references, descriptions, prices, stock, and any other indexed content). Heurix claims no ownership rights over this data and uses it only to the extent strictly necessary to provide the Service to the relevant Customer.

Heurix does not use one customer's Catalog data to train a model or service intended for another customer, nor does it transfer it to third parties, except where legally required.

The Customer warrants holding the necessary rights over the data they index and agrees not to transmit through the Service any data whose processing would be unlawful.

Article 11 — Intellectual property

The Service, the Heurix search engine, its documentation, its brand, and its content (excluding Customer data covered under Article 10) are the exclusive property of Heurix and are protected by intellectual property law. Nothing in these Terms grants the Customer any ownership right over the Service itself.

The Customer is granted, for the duration of their subscription, a non-exclusive, non-assignable, non-transferable right to use the Service, within the limits of the subscribed Plan.

Article 12 — Warranties and limitation of liability

The Service is provided "as is". Heurix does not warrant that search results returned will meet a specific business objective of the Customer (conversion rate, revenue, or other metric), as such results depend in particular on the quality and structure of the Catalog provided by the Customer.

To the extent permitted by French law, Heurix's liability under these Terms is limited to direct damages and shall not exceed, over a twelve (12) month period, the total amount actually paid by the Customer to Heurix during that same period. Heurix shall not be liable for indirect damages, such as loss of revenue, customers, or data resulting from a cause outside its reasonable control.

Nothing in these Terms is intended to exclude or limit any liability that cannot be excluded or limited under French law (in particular in cases of gross negligence, willful misconduct, or bodily injury).

Article 13 — Changes to these Terms

Heurix may amend these Terms, in particular to reflect changes to the Service, applicable regulations, or its pricing model. Any material change is notified to the Customer by email at least thirty (30) days before it takes effect. Continued use of the Service after that date constitutes acceptance of the amended Terms; a Customer who declines the change may terminate their subscription under the conditions of Article 8.

Article 14 — Governing law

These Terms are governed by French law, to the exclusion of any other legislation, including for Customers domiciled outside France, subject to any mandatory consumer-protection provisions applicable to a Customer acting as a consumer (which is not the primary purpose of the Service, intended for professional use).

Article 15 — Contact and disputes

Any question regarding these Terms may be sent to contact@heurix.fr. In the event of a dispute, the parties will make reasonable efforts to reach an amicable resolution before any legal action. Failing an amicable agreement, the competent French courts shall have exclusive jurisdiction, subject to any mandatory rules of jurisdiction.
